Welcome to Transfer Tunes. These Terms of Service ("Terms") govern your use of the Transfer Tunes website and services (collectively, the "Service") operated by Transfer Tunes LLC ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Description of Service

1.1 What We Provide

Transfer Tunes provides a web-based service that allows users to:

• Transfer playlist metadata between music streaming platforms
• Export playlist information in various formats (CSV, JSON, M3U)
• Access curated playlist recommendations
• Receive links to legitimate music purchase platforms
• Transfer favorite artist follows between platforms

Our Service uses official Application Programming Interfaces (APIs) provided by music streaming platforms. When you authorize our Service:

• We access your playlist metadata through OAuth authentication
• We read song titles, artists, and album information
• We search for matching songs on your destination platform
• We add matched songs to playlists on your destination platform
• All transfers occur through official, authorized channels

2. User Accounts and Authorization

2.1 Account Creation

To use certain features of our Service, you may need to create an account. When creating an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your password
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

2.2 Platform Authorization

Our Service requires authorization to access your streaming platform accounts. You understand and agree that:

• You are granting Transfer Tunes permission to access your playlist metadata
• We will only access data necessary to provide our Service
• You can revoke authorization at any time through your platform's settings
• We are not responsible for changes to platform APIs that may affect our Service

2.3 Age Requirement

You must be at least 13 years old to use our Service. If you are under 18, you must have permission from a parent or legal guardian.

3. Subscription Plans and Payments

3.1 Free Tier

Our free tier includes:

• Transfer up to 1 playlist per day (maximum 100 songs per playlist)
• Smart matching and fuzzy search features
• Manual song correction
• CSV export functionality

3.2 Premium Subscription

Our Premium subscription ($14.99/month or $149/year) includes:

• Unlimited playlist transfers
• Unlimited songs per playlist
• Favorite artist transfer
• Batch transfer capabilities
• Purchase export with cart building
• Priority customer support
• Early access to new features

3.3 Billing and Renewal

• Recurring Charges: Premium subscriptions automatically renew at the end of each billing period unless cancelled.
• Payment Method: You authorize us to charge your payment method for all fees incurred.
• Price Changes: We may change subscription prices with 30 days' notice. Changes apply to subsequent billing periods.
• Failed Payments: If payment fails, we may suspend or terminate your Premium access.

3.4 Cancellation and Refunds

• Cancellation: You may cancel your Premium subscription at any time through your account settings.
• Access After Cancellation: You will retain Premium access until the end of your current billing period.
• No Refunds: We do not provide refunds for partial months or unused portions of subscription periods, except as required by law.
• Free Trial: If we offer a free trial, you will be charged at the end of the trial period unless you cancel before it ends.

4. Affiliate Relationships and Commissions

4.1 Affiliate Disclosure

4.2 Purchase Export Feature

Our purchase export feature provides links to legitimate music retailers where you can purchase songs from your playlists. You acknowledge that:

• We are providing referral links to third-party retailers
• We earn affiliate commissions on qualifying purchases
• You are under no obligation to purchase through our links
• Prices and availability are determined by the retailer, not by us
• We do not process payments or fulfill orders (handled by retailers)

4.3 Independence of Recommendations

Our affiliate relationships do not influence our platform recommendations or matching algorithms. We recommend music platforms based on catalog coverage, user preference, and technical compatibility.

5. User Responsibilities and Conduct

5.1 Acceptable Use

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on any intellectual property rights
• Use automated systems to access our Service (except as we provide)
• Attempt to reverse engineer, decompile, or hack our Service
• Upload malicious code, viruses, or harmful content
• Impersonate others or provide false information
• Use our Service to spam or send unsolicited communications
• Violate the terms of service of any music streaming platform

5.2 Platform Compliance

You acknowledge that you must comply with the Terms of Service of all music streaming platforms you connect to Transfer Tunes. We are not responsible for violations of platform terms.

5.3 Data Accuracy

While we strive for accuracy in matching songs between platforms, you acknowledge that:

• Matches may not always be perfect (different versions, remasters, etc.)
• Some songs may not be available on all platforms
• Catalog availability varies by region and licensing agreements
• You are responsible for reviewing transferred playlists for accuracy

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, source code, and matching algorithms, is owned by Transfer Tunes LLC and is protected by international copyright, trademark, and other intellectual property laws.

6.2 Your Intellectual Property

You retain all rights to your playlist metadata and any content you create using our Service. By using our Service, you grant us a limited license to access and process your playlist metadata solely for the purpose of providing our Service.

6.3 Third-Party Content

Song titles, artist names, and album information belong to their respective copyright holders. We claim no ownership of this metadata; we merely facilitate its transfer between platforms you authorize.

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

Key privacy points:

• We do not sell your personal data
• Playlist metadata is processed temporarily and deleted after transfer
• We use industry-standard encryption (HTTPS/SSL)
• You can request data deletion at any time
• We comply with GDPR and CCPA regulations

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• All songs will be found on destination platforms
• Matches will be 100% accurate
• Platform APIs will remain available or unchanged
• The Service will meet your specific requirements

Some jurisdictions do not allow disclaimer of implied warranties, so some of the above may not apply to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSFER TUNES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall our total liability exceed the amount you paid us in the past twelve months, or $100, whichever is greater.

10. Third-Party Services and Links

10.1 Music Streaming Platforms

Our Service integrates with third-party music streaming platforms (Spotify, Apple Music, YouTube Music, etc.). We are not responsible for:

• Changes to platform APIs or terms of service
• Platform outages or service interruptions
• Platform content policies or catalog availability
• Platform billing or subscription issues

10.2 Music Purchase Platforms

When you use our purchase export feature, you are redirected to third-party retailers (Bandcamp, Qobuz, etc.). We are not responsible for:

• Product availability or pricing
• Order fulfillment or delivery
• Customer service or refunds (contact the retailer directly)
• Quality of downloaded files

10.3 External Links

Our Service may contain links to external websites. We have no control over and assume no responsibility for third-party content, privacy policies, or practices.

11. Termination

11.1 Termination by You

You may terminate your account at any time by:

• Cancelling your Premium subscription (if applicable)
• Deleting your account through account settings
• Revoking platform authorizations
• Contacting us at support@transfertunes.com

11.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of subscription fees
• Requests from law enforcement or government agencies
• Unexpected technical issues or security concerns

11.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• We will delete your account data as described in our Privacy Policy
• You remain responsible for any fees incurred before termination
• Sections of these Terms that should survive termination will continue to apply

12. Changes to Terms of Service

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Email to your registered address
• Prominent notice on our website
• In-app notification

Changes take effect 30 days after notification for existing users. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

13.2 Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Wyoming, and you consent to personal jurisdiction in those courts.

13.3 Informal Resolution

Before filing a claim, you agree to contact us at legal@transfertunes.com to attempt informal resolution. We will attempt to resolve disputes in good faith within 30 days.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Transfer Tunes LLC regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or platform API changes.
